We’re Hiring:
We are looking for a project-based lawyer who will take ownership of IT-related contracts, intellectual property protection, and legal support for the company’s investment and corporate structuring projects.
You’ll Own
Draft, negotiate, and update IT-related agreements, including software development, licensing, SaaS/subscription, integrations, and technical support agreements.
Prepare Terms of Use, offers, privacy policies, personal data protection documentation, and legal documentation required for launching new digital services.
Support deals with partners and major clients: structure terms, allocate risks, negotiate liability limitations, SLAs, payment terms, and subscription conditions.
Manage the company’s IP portfolio, including trademarks, software, databases, and know-how.
Organize the registration and maintenance of IP rights in Russia and abroad: liaise with Rospatent and foreign patent attorneys, file applications, respond to office actions, challenge refusals, and renew registrations.
Prepare legal opinions on IT law, copyright and patent law, trademark law, and analyze relevant court and administrative practice in key jurisdictions for the company.
Monitor GDPR compliance for a foreign company operating in the EU.
What Matters:
Law degree.
4–5+ years of experience as a lawyer in an IT company, legal consultancy, or in-house role focused on IT / IP / digital law.
Strong knowledge of civil and contract law as applied to IT, including software development agreements, licensing, SaaS/subscription models, and allocation of IP rights between clients, developers, and contractors.
Strong knowledge of Russian and international personal data protection laws.
Practical experience supporting complex projects involving investors and/or corporate groups, including legal due diligence, preparation of transaction documentation, negotiation of terms, and support of corporate changes across multiple jurisdictions.
Experience working with intellectual property: registration, maintenance, and protection of rights to software, trademarks, inventions and utility models, including work with foreign patent attorneys.
Strong negotiation skills with business teams, external advisors, and partners, with the ability to explain complex legal matters in clear and practical terms.
English at Upper-Intermediate level or higher for working with documents and counterparties from the EU, US, and other jurisdictions.
Nice to Have
Experience supporting the structuring of international holding and product companies, including incorporation, maintenance, and corporate changes in foreign jurisdictions, as well as interaction with registrars and banks.
Experience ensuring GDPR compliance.
Experience interacting with GDPR regulators.
Litigation or pre-litigation experience in IT and intellectual property disputes.
